Sharpe Pritchard’s specialist legal team advises on a wide range of commercial and corporate matters for our clients in both the public and private sectors. 

Our solicitors provide expert support to identify tax issues and find solutions which protect our clients' commercial interests.

We advise on the tax implications of real estate transactions (including VAT and SDLT issues, as well as direct tax implications, such as capital allowances and the construction industry scheme), and on service delivery structures and trusts - with particular expertise in advising clients who operate at the interface between the public and private sectors, such as infrastructure and PPP.

Our corporate and commercial team is both technically excellent and commercially astute and we pride ourselves on taking a pragmatic approach to the commercial pressures faced by our clients. 

Our clients include local authorities, central government, housing associations and charities.

Recent work

  • acting on the Thames Tideway Tunnel super-sewer project as an embedded part of the delivery team, including coordinating other external firms and advising at board level. This has included negotiating a specific and sui generis corporate governance model;
  • advising Daventry District Council on the sale of two sites to facilitate a £40 million redevelopment of the town centre;
  • advising a central government department on corporate governance issues with regard to a company where it is a minority shareholder and wishes to dispose of its minority shareholding; and
  • frequently advising on the structure of joint ventures, including setting up and incorporation of Special Purpose Vehicle/Entity, which lie at the heart of all our PFI and PPP work. In this context, we review the articles of association and shareholders agreements relating to the project companies, their joint venture or special purpose vehicle holding companies.
