Restructuring & insolvency

Sharpe Pritchard's corporate team advises public sector and housing clients on a wide range of corporate finance and governance matters.

Team members have acted on a number of amalgamations and mergers, including the South Warwickshire Housing Association merger with Orbit Housing Group (Orbit Heart of England).

The team’s transactional corporate experience extends to company acquisitions and disposals, examples of which include acting for a major not-for-profit health provider on a series of strategic acquisitions, acting for a charitable social enterprise on its acquisition of a flagship sports business in east London, advising a newly-incorporated joint venture company on its acquisition of an offender rehabilitation services business previously operated within the public sector and advising a central government department on certain aspects of the disposal of its employment placing service for disabled people.

In addition, we regularly advise local authorities and other public sector clients on the incorporation of subsidiary companies, whether these are incorporated with a view to undertaking services previously undertaken within the local authority (and therefore take advantage of the Teckal exemption) or whether these are incorporated with a view to trading on a wider basis.


Recent work

  • advising CityWest Homes on the governance issues associated with the pre-insolvency mismanagement of one of its TMOs. Our advice in this case centred on management committee liability in the context of the TMO being a registered society under the Cooperative and Community Benefit Act 2014 (it was formerly an Industrial and Provident Society). Our experience in aligning company law elements with the new duties placed on officers of registered societies proved particularly useful for the client and ensured the client was able to draw on multiple options to ensure it protected its own position.
  • advising a west London local authority on the orderly wind down of its ALMO following continued breaches of the management agreement.
