Sharpe Pritchard’s specialist legal team advises on a wide range of commercial and corporate matters for our clients.  We advise organisations across a range of sectors including local government, central government, housing, education, healthcare, facilities and technology.

Our corporate team offers support to clients on franchising and quasi-franchising models and associated brand protection, as well as on competition and state aid, restructuring, licence agreements and commercial contracts.

Our commercial disputes team can assist franchisors, franchisees and developers on dispute avoidance and resolution.

Recent work

  • advising the directors of a number of local authority trading companies on their legal duties, including drafting deeds of indemnities from the company to the directors; 
  • advising many current clients on the procurement, formation and operation of a wide range of commercial contracts, including facilities management (e.g. cleaning, catering, repairs and maintenance), construction, ICT, leisure, housing management, shared services and framework arrangements. 
  • frequently advising on the structure of joint ventures, including setting up and incorporation of Special Purpose Vehicle/Entity, which lie at the heart of all our PFI and PPP work. In this context, we review the articles of association and shareholders agreements relating to the project companies, their joint venture or special purpose vehicle holding companies.
