Sophie is a Solicitor in the Corporate and Commercial department and specialises in corporate structuring and governance. She advises on large or complex infrastructure projects which often adopt specialist corporate structures.

Sophie’s role:

She has considerable corporate and corporate governance experience and advises on a range of commercial contracts, company law issues, subsidy control, financing, board governance matters and shareholder issues. Sophie has particular expertise in the application of procurement exemptions to outsource or insource service delivery models, making use of Teckal and Hamburg (horizontal and vertical) structures for a range of public bodies.

  • Central government department: Part-time secondment into their legal team to provide a range of legal support on large corporate projects, advising on issuing grants and subsidy control issues.

  • Central government executive function: Supporting on the development of proposals to develop its research campus into an innovation cluster for the development of nuclear fusion technology.
  • West of England Combined Authority: Supporting on several aspects of the Bristol Temple Quarter regeneration scheme, including advising on the corporate structuring of a joint venture between various public bodies.
  • Local authority: Part time secondment into their legal team to provide a range of legal support on various procurement matters including variations to existing contracts and the use of exemptions and safe harbours.
  • Local authority: Part time secondment into their legal team advising on a wide range of commercial and procurement matters, including having the sole responsibility for developing a dynamic purchasing system for the procurement of certain key council services.
  • Local authority: Advising on a two company corporate structure for the provision of certain development and construction activities from a wholly owned subsidiary and the incorporation of a new Teckal-compliant company to deliver development and economic services back to the Council.
  • Various Local Authorities: Providing procurement and contractual support on the shift of its leisure services outsourcing contract to an agency-style arrangement to create the most VAT-efficient structure, including advising on the procurement challenge risk.
  • Care Contract Novations: Advising multiple local authorities on requests from care providers on proposed novations to new companies set up to create tax efficiencies. Advising on the contractual and procurement risk, notably the use of Regulation 72 PCR 2015 and its application for novations.
