Academies: Commercial transfer agreement

In order to operate a school, the new Academy Trust needs to formally take over the staff, assets and liabilities of the school from the Local Authority. A commercial transfer agreement (“CTA”) between the Local Authority, the Academy Trust and (in some cases) the old governing body, should be agreed at least a month before the conversion date.

The CTA should cover:

  • Transferring contracts (whether such contracts are specific to that school or a contract made by the local authority covering other schools in the area);
  • Employees, pensions and the staffing information that is required under TUPE;
  • Other rights and liabilities.
